16 April 2013 at 17:45 CET – The Hague – Today, PostNL N.V.’s Annual General Meeting of Shareholders (AGM) adopted the 2012 financial statements of the company and determined the dividend over 2012 at € 0.181 per ordinary share, which has been paid as an interim dividend in shares in August 2012. No final dividend will be paid out.
The remuneration policy 2013 as presented was adopted by the shareholders. The Central Works Council supports the remuneration policy 2013.
Furthermore the AGM adopted the following resolutions:
- To release from liability the members of the Board of Management for the tasks they have carried out insofar as apparent from the 2012 financial statements.
- To release from liability the members of the Supervisory Board for the tasks they have carried out insofar as apparent from the 2012 financial statements.
- Mrs A.M. Jongerius was appointed as a member of the Supervisory Board for a term of four years as of 16 April 2013.
- Mr J.W.M. Engel was appointed as a member of the Supervisory Board for a term of four years as of 16 April 2013.
- To extend the designation of the Board of Management as authorised body to issue ordinary shares until 16 October 2014. This authority shall be limited to a maximum of 10% of the issued capital at the time of issue plus a further issue up to 10% of the issued capital at the time of issue in case an issue takes place in relation to a merger or an acquisition.
- To extend the designation of the Board of Management as authorised body to limit or exclude the pre-emptive right to issue ordinary shares until 16 October 2014. The authority of the Board of Management shall be limited to a maximum of 10% of the issued capital at the time of issue plus a further issue up to 10% of the issued capital at the time of issue in case an issue takes place in relation to a merger or an acquisition.
- To authorise the Board of Management to have the company acquire its own shares to a maximum of 10% of the issued share capital until 16 October 2014.
Mrs P.M. Altenburg and Mr W. Kok resigned as per the close of the AGM. Mrs Altenburg indicated she wishes to ensure her optimal availability to her company and her supervisory functions, in particular to her new position as the Chairman of the Supervisory Board of the Zaans Medisch Centrum. Mr Kok has resigned as a member of the Supervisory Board after ten years of service, to allow for rejuvenation of the Board. Mr Piet Klaver, the Chairman of the Supervisory Board, said: ‘I wish to thank Nelly Altenburg and Wim Kok for their commitment to our company during their terms of four and ten years respectively. During these periods, both contributed significantly to the business based on their extensive experience and valued insights.’
